The AFPDB (French Association of Securitized Listed Derivatives or AFPDB in French) is governed by the Act of 1st July 1901, the Decree of 16th August 1901 (and later laws and regulations) and the Memorandum and Articles of Association.

The Association’s objects, to the exclusion of any business activity, are to further the development and to promote, by all relevant means, Exchange-listed derivatives on French or foreign markets.

The Founder Members are BNP Paribas and Société Générale.

The Association’s corporate bodies are:

  • The General Meeting.
  • The Executive Committee.
  • The General Secretary.

A Chairman (who is also the Chairman of the Executive Committee) manages the Association.

The General Meeting is comprised of all Members. It appoints its Chairman and its Treasurer among the three Members of the Executive Committee, approves the financial statements and in general decides on all matters on its agenda.

The Executive Committee draws up the Meeting’s agenda. It is comprised of three Members. The Executive Committee manages the Association and supervises its management. It decides on all matters relating to the Association that are not governed by the Memorandum and Articles of Association that it deems to be necessary or desirable for the purpose of achieving the goals set. The main tasks and powers of the Executive Committee are as follows:

  • Defining the Association’s policy in line with its objects and the projects implemented.
  • Accepting and expulsing Members.
  • Preparing and drawing up proposals related to subjects to be treated by the General Meeting, in particular, preparing the annual financial statements.
  • Appointing the General Secretary, supervising his activity and defining his powers.
  • Deciding whether or not to bring legal action and/or entering into settlement agreements on behalf of the Association.
  • Establishing working groups comprised of experts, appointed by the Members, responsible for dealing with certain special matters. The Executive Committee may delegate said power to the General Secretary.

The Executive Committee appoints the General Secretary. The General Secretary attends to ordinary business and is responsible for implementing the decisions of the General Meeting and the Executive Committee. The Executive Committee defines the duties and powers of the General Secretary.

The Chairman calls and chairs meetings of the Executive Committee and General Meetings. He manages the Association’s work in accordance with the Memorandum and Articles of Association. He represents the Association in legal proceedings and in all acts of civil and professional life. He may contract in his name within the limits authorised by law.

The Treasurer, who is a member of the Executive Committee, ensures the fair presentation of the financial statements. He submits a report on the financial management of the year to the General Meeting.
